Expresso Services Inc. provides professional business services, including but not limited to business process consulting, IT support and technology services, administrative solutions, project management, data and analytics services, and HR and talent support. The specific scope, deliverables, pricing, and timeline of any engagement are governed by a separate written service agreement or statement of work entered into between Expresso and the client.

These Terms govern your use of the Site and general interaction with Expresso. They do not supersede the terms of any executed client service agreement; in the event of a conflict, the signed service agreement prevails.

3. Eligibility

The Site and Services are intended for use by individuals who are at least 18 years of age and who have the legal capacity to enter into binding contracts. By using the Site, you represent and warrant that you meet these requirements.

If you are accessing the Site on behalf of a business or other legal entity, you represent that you have authority to bind that entity to these Terms, and "you" shall refer to both you and that entity.

4. Permitted Use

Subject to these Terms, Expresso grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Site for your legitimate business purposes, specifically to:

  • Learn about Expresso's services and capabilities
  • Submit enquiries or contact requests via the provided forms
  • Access publicly available content on the Site
  • Engage with Expresso as a prospective or existing client

Any use of the Site beyond these permitted purposes requires our prior written consent.

The Expresso Services Inc. name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Expresso Services Inc. Nothing in these Terms grants you any right to use these marks.

We welcome links to our Site from third-party websites, provided the link does not imply endorsement, affiliation, or sponsorship and does not use our trademarks in a misleading manner.

7. User Submissions

When you submit information to us via contact forms, email, or other communication channels ("Submissions"), you grant Expresso a non-exclusive, royalty-free, perpetual licence to use those Submissions for the purpose of responding to your enquiry and conducting our business. You represent and warrant that your Submissions are accurate and that you have the right to provide them to us.

We treat Submissions in accordance with our Privacy Policy. Please do not submit sensitive personal information (such as financial account numbers, government identification numbers, or health information) via the Site's contact form.

8. Disclaimers

THE SITE AND ITS CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, EXPRESSO SERVICES INC. We do not warrant that the Site will be uninterrupted, error-free, free of viruses, or that defects will be corrected. We do not guarantee the accuracy, completeness, or currency of any information on the Site.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL EXPRESSO SERVICES INC., ITS DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF, OR INABILITY TO USE, THE SITE OR SERVICES — EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Our total aggregate liability for any claim arising out of or relating to these Terms or the Site (excluding claims under a separate signed service agreement) shall not exceed ONE HUNDRED CANADIAN DOLLARS (CAD $100.00). Some jurisdictions do not allow the exclusion or limitation of certain damages; in such jurisdictions, our liability is limited to the greatest extent permitted by law.

10. Indemnification

You agree to defend, indemnify, and hold harmless Expresso Services Inc. and its affiliates, directors, officers, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Site or Services; (b) your violation of these Terms; (c) your Submissions; or (d) your violation of any third party's rights.

11. Third-Party Links & Services

The Site may contain links to external websites or reference third-party services that are not owned or controlled by Expresso. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party website or service. We encourage you to review the terms and privacy policies of any third-party sites you visit.

12. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Province of Alberta and the applicable laws of Canada, without regard to conflict of law principles.

Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Site shall first be submitted to good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within 30 days, it shall be subject to the exclusive jurisdiction of the courts of Alberta, Canada.

You waive any objection to the jurisdiction or venue of such courts and agree to accept service of process by registered mail.

13. Modifications to These Terms

We reserve the right to revise these Terms at any time. When we do, we will update the "Last Updated" date at the top of this page. Material changes will be highlighted on the Site for a reasonable period following the update.

Your continued use of the Site after the effective date of any modification constitutes your acceptance of the revised Terms. If you do not agree to the modified Terms, you must stop using the Site immediately.

14. Termination

We reserve the right to terminate or suspend your access to the Site, without notice or liability, for any reason, including if we reasonably believe you have violated these Terms.

Upon termination, the following sections shall survive: Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, Governing Law, and any other provisions that by their nature should survive.
